Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and DeWitt Strategic Advisors, LLC (doing business as “DeWitt Labs,” “we,” “us,” or “our”), governing your access to and use of Nuri and all related services (collectively, the “Service”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Nuri is an AI productivity assistant that provides:

• AI-powered chat for knowledge work, writing, analysis, and brainstorming.
• Optional screen capture with client-side PII redaction for contextual awareness.
• Calendar integration for meeting intelligence and schedule-aware prioritization.
• Task management with AI-driven prioritization.
• Meeting intelligence including agenda preparation and follow-up summaries.

The Service is available as a macOS desktop application, iOS mobile application, and web portal at nuri.dewitt.us.

3. Account Registration

You must be at least 18 years of age to use the Service. By registering, you represent that you meet this requirement.

Accounts are created through Clerk using OAuth providers (Google, Apple, or GitHub). You are responsible for maintaining the security of your authentication credentials and for all activity that occurs under your account. Notify us immediately at hello@dewitt.us if you suspect unauthorized access.

4. Subscriptions & Payment

Nuri offers a free tier with limited features and paid subscription plans. Paid subscriptions are billed through Stripe and automatically renew at the end of each billing period unless you cancel.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until then.

We reserve the right to change pricing with 30 days’ notice. Price changes will apply at the start of your next billing cycle.

5. Refund Policy

All sales are final. Due to the nature of digital services and AI-powered features that are consumed immediately upon use, we do not offer refunds or credits for any subscription fees, partial billing periods, or unused features. This policy also serves as our Return Policy — there are no returns for digital services.

6. Your Data & Content

You retain ownership of all data and content you provide to the Service (“Your Content”). We do not claim ownership of Your Content.

You grant us a limited, non-exclusive license to process Your Content solely for the purpose of operating and improving the Service. This license terminates when you delete Your Content or your account.

You may export your data as JSON or delete it (in whole or selectively) at any time. For details on how we handle your data, see our Privacy Policy.

7. AI-Generated Content

Content generated by Nuri’s AI features is provided “as is” for informational purposes only. AI-generated content:

• May contain errors, inaccuracies, or omissions.
• Does not constitute professional advice of any kind — including but not limited to medical, legal, financial, tax, or therapeutic advice.
• Should be independently verified before reliance, especially for consequential decisions.

You are solely responsible for how you use AI-generated content. DeWitt Labs disclaims all liability arising from reliance on such content.

8. Intellectual Property

The Service, including its design, code, features, documentation, branding, and trademarks, is the intellectual property of DeWitt Strategic Advisors, LLC. All rights not expressly granted herein are reserved.

You may not copy, modify, distribute, reverse-engineer, or create derivative works based on the Service without our prior written consent.

9. Acceptable Use

You agree not to misuse the Service, including but not limited to: attempting to gain unauthorized access, using automated means to abuse the API, transmitting malicious code, harassing other users, or using the Service for any unlawful purpose.

10. Third-Party Integrations

Nuri integrates with third-party services including Google Calendar and Linear. Your use of these integrations is subject to the respective third party’s terms of service and privacy policy in addition to these Terms. We are not responsible for the practices or availability of third-party services.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that AI-generated content will be accurate or suitable for any particular purpose.

12. Limitation of Liability

To the maximum extent permitted by applicable law, DeWitt Labs and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees you paid to us during the six (6) months immediately preceding the event giving rise to the claim, or fifty dollars ($50), whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless DeWitt Labs and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) Your Content.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

15. Dispute Resolution

Informal Resolution

Before initiating formal proceedings, you agree to contact us at hello@dewitt.us and attempt to resolve any dispute informally for at least 30 days.

Binding Arbitration

If a dispute cannot be resolved informally, it shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. Arbitration will take place in San Diego, California. The arbitrator’s decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Statute of Limitations

Any claim arising out of or related to these Terms must be filed within one (1) year after the cause of action accrues. Claims filed after this period are permanently barred.

16. Termination

You may terminate your account at any time by deleting it through your account settings or by contacting us. We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or the Service.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 5, 7, 8, 11, 12, 13, 14, and 15.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date and notify you through the Service or by email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
